Welcome to Box4Grow. These Terms of Service (“Terms”) govern your use of our website box4grow.com (the “Site”) and your purchase of our modular cannabis cultivation facilities and related services (collectively, the “Services”).

By accessing or using our Site or Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Site or Services.

Box4Grow (“we,” “our,” or “us”) is a division of Moduulize, providing modular cultivation infrastructure for licensed cannabis operators and controlled environment agriculture.

IMPORTANT: These Terms contain an arbitration clause and class action waiver that affect your legal rights. Please read Section 15 carefully.

1. Acceptance of Terms

By accessing or using the Box4Grow website, requesting a quote, placing an order, or engaging with our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy.

These Terms constitute a legally binding agreement between you and Box4Grow. If you are entering into these Terms on behalf of a business or other legal entity, you represent that you have the authority to bind such entity to these Terms.

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our Site and updating the “Last Updated” date. Your continued use of our Site or Services after such changes constitutes your acceptance of the modified Terms.

2. Eligibility and License Requirements

2.1 Age Requirement

You must be at least 21 years of age to use our Site or Services. By using our Site, you represent and warrant that you are at least 21 years old.

2.2 Cannabis Licensing

Box4Grow provides cultivation infrastructure exclusively to licensed cannabis operators or applicants in jurisdictions where cannabis cultivation is legal. By purchasing our Services, you represent and warrant that:

• You hold (or are actively applying for) a valid cannabis cultivation license issued by your state or jurisdiction
• You are in compliance with all applicable state and local cannabis regulations
• You will use our facilities only for lawful purposes in accordance with your license
• You understand that cannabis remains illegal under federal law in the United States

2.3 Verification

We reserve the right to request proof of licensing, business registration, and identity verification before accepting any order. Failure to provide requested documentation may result in order cancellation.

3. Services Provided

3.1 Product Offerings

Box4Grow provides modular cultivation infrastructure including:

• Shipping container grow rooms (10ft, 20ft, 40ft configurations)
• Modular panel cultivation facilities
• Drying and curing rooms
• Processing spaces and extraction labs
• Climate-controlled storage warehouses
• Installation, commissioning, and training services
• Technical support and maintenance services

3.2 Custom Solutions

All Box4Grow facilities are custom-configured based on your specific requirements, license type, location, and cultivation goals. Specifications, features, and pricing are determined through our consultation and quoting process.

3.3 What We Do NOT Provide

Box4Grow does NOT provide:

• Cannabis licensing consulting or application preparation
• Cultivation training or agronomic consulting
• Legal or regulatory compliance advice
• Permit filing or expediting services
• Cannabis cultivation supplies (seeds, nutrients, media)
• Security cameras, access control systems, or alarm monitoring

4. Ordering Process

4.1 Quotation Process

The ordering process follows these steps:

1. Initial Consultation: Submit inquiry via our contact form or call us directly
2. Requirements Discussion: We discuss your license type, space, budget, and cultivation goals
3. Custom Quote: We provide a detailed quote with specifications, timeline, and pricing
4. Design Review: We refine the design based on your feedback
5. Contract Execution: Both parties sign a formal purchase agreement
6. Deposit Payment: You provide deposit (typically 30% of total cost)

4.2 Quotes Are Not Offers

All quotes are estimates only and do not constitute binding offers. Quotes are valid for 30 days from the date of issuance. Final pricing may vary based on site conditions, permitting requirements, or changes to specifications.

4.3 Order Acceptance

Your order is not confirmed until:

• Both parties have executed a written purchase agreement
• We have received your deposit payment
• We have issued a written order confirmation

We reserve the right to refuse or cancel any order for any reason, including but not limited to:

• Inability to verify licensing or identity
• Suspected fraudulent activity
• Insufficient credit or payment concerns
• Product availability or manufacturing constraints
• Jurisdictional restrictions or legal concerns

5. Pricing and Payment Terms

5.1 Pricing

All prices are quoted in U.S. Dollars (USD) and are subject to change without notice until a formal purchase agreement is executed. Prices do NOT include:

• Sales tax, use tax, or other applicable taxes
• Shipping costs to remote or difficult-access locations
• Site preparation (foundation, utilities, permits)
• Utility connection fees
• Security systems (cameras, access control)
• Optional upgrades or customizations not specified in the quote

5.2 Payment Schedule

Standard payment terms are:

• Deposit (30%): Due upon contract signing to begin manufacturing
• Progress Payment (40%): Due during manufacturing (typically 4-6 weeks after deposit)
• Final Payment (30%): Due upon delivery/installation

Custom payment schedules may be negotiated for large projects. All payments must be received before delivery or installation proceeds.

5.3 Accepted Payment Methods

• Wire transfer (preferred)
• ACH bank transfer
• Business check (subject to clearance)
• Credit card (for deposits under $50,000, subject to 3% processing fee)

We do NOT accept cash payments or cryptocurrency.

5.4 Late Payments

Late payments are subject to:

• Interest charges of 1.5% per month (18% APR) or the maximum rate permitted by law, whichever is less
• Suspension of work until payment is received
• Cancellation of order if payment is more than 30 days overdue

5.5 Taxes

You are responsible for all applicable federal, state, and local taxes, duties, and fees. If we are required to collect sales tax, it will be added to your invoice. You must provide a valid resale certificate or tax exemption certificate if claiming exemption.

6. Delivery and Installation

6.1 Delivery Timeline

Estimated delivery timelines are:

• Container systems: 8 weeks from deposit
• Modular panel facilities: 12 weeks from deposit

These are estimates only and not guaranteed delivery dates. Delays may occur due to manufacturing constraints, shipping logistics, weather, permitting issues, or force majeure events. We are not liable for delays beyond our reasonable control.

6.2 Site Preparation Requirements

You are responsible for:

• Providing a suitable foundation per our specifications
• Ensuring site access for delivery vehicles (semi-trucks, cranes, forklifts)
• Obtaining all necessary building permits
• Providing utility connections to the delivery point (electric, water, internet)
• Site grading and drainage

We provide detailed site preparation specifications. Failure to properly prepare the site may result in installation delays or additional charges.

6.3 Delivery and Installation Services

Standard delivery and installation includes:

• Transportation to your site (within continental U.S.)
• Unloading and placement of containers or panel assembly
• HVAC system commissioning
• Electrical panel installation (final hookup by your electrician)
• Irrigation system setup
• Environmental controls programming
• Staff training (1-2 days on-site)

6.4 Inspection and Acceptance

Upon installation, you must inspect the facility and notify us in writing of any defects or non-conformities within 5 business days. Failure to provide timely notice constitutes acceptance of the facility as delivered.

7. Cancellation and Refund Policy

7.1 Cancellation by Customer

You may cancel your order subject to the following terms:

Before Manufacturing Begins (within 7 days of deposit):

• Full refund minus 10% administrative fee

After Manufacturing Begins (more than 7 days after deposit):

• Deposit is non-refundable
• You are responsible for costs incurred to date
• Additional cancellation fee of 20% of total contract value

After Partial Delivery or Installation:

• No refunds
• You remain obligated to pay the full contract amount

7.2 Cancellation by Box4Grow

We may cancel your order if:

• You fail to make payments when due
• You fail to obtain necessary licenses or permits
• You provide false or misleading information
• Site conditions make installation impossible or unsafe
• We are unable to comply with applicable laws or regulations

If we cancel due to your breach, you forfeit all payments made and remain liable for costs incurred. If we cancel for reasons not related to your breach, we will refund payments received minus costs incurred.

7.3 No Returns

Due to the custom nature of our products, we do not accept returns. All sales are final once installation is complete.

8. Warranties

8.1 Limited Warranty

Box4Grow warrants that our facilities will be:

• Free from defects in materials and workmanship
• Constructed in accordance with the agreed specifications
• Fit for the purpose of cannabis cultivation when properly maintained and operated

Warranty Periods:

• Structural components: 10 years
• HVAC systems: 5 years (parts), 1 year (labor)
• LED lighting: 5 years
• Electrical systems: 3 years
• Installation workmanship: 1 year

8.2 Warranty Exclusions

This warranty does NOT cover:

• Damage caused by improper use, abuse, or neglect
• Damage from improper installation or modifications not performed by Box4Grow
• Normal wear and tear (filters, consumables)
• Damage from acts of nature, accidents, or force majeure
• Failure to perform recommended maintenance
• Use of incompatible equipment or supplies
• Damage during relocation not performed by Box4Grow

8.3 Warranty Claims

To make a warranty claim:

1. Notify us in writing within 10 days of discovering the defect
2. Provide detailed description, photos, and any relevant documentation
3. Allow us reasonable access to inspect the facility
4. Cease use of the affected component until repair is completed

We will repair or replace defective components at our discretion. This is your sole remedy under this warranty.

8.4 Disclaimer of Warranties

EXCEPT AS EXPRESSLY PROVIDED IN THIS SECTION 8, BOX4GROW MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. WE DO NOT WARRANT THAT OUR FACILITIES WILL MEET YOUR SPECIFIC REQUIREMENTS OR THAT OPERATION WILL BE UNINTERRUPTED OR ERROR-FREE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

9.1 Excluded Damages

BOX4GROW SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Lost profits or revenue
• Lost crop yields or production delays
• Loss of business opportunity
• Loss of data or information
• Cost of substitute facilities or services
• Regulatory fines or penalties
• Damage to reputation or goodwill

9.2 Cap on Liability

BOX4GROW’S TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO BOX4GROW UNDER THE APPLICABLE PURCHASE AGREEMENT.

9.3 Essential Purpose

The limitations in this Section 9 apply even if any limited remedy fails of its essential purpose and regardless of the theory of liability (contract, tort, strict liability, or otherwise).

9.4 Jurisdictional Limitations

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages. If you are located in such a jurisdiction, the above limitations may not apply to you, but our liability will be limited to the maximum extent permitted by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless Box4Grow, Moduulize, and their respective officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to:

• Your use of our facilities or Services
• Your violation of these Terms
• Your violation of any applicable laws or regulations (including cannabis laws)
• Your failure to obtain or maintain required licenses or permits
• Your failure to properly maintain or operate the facility
• Injuries or damages to third parties caused by your use of our facilities
• Environmental contamination or regulatory violations

11. Intellectual Property

11.1 Our Intellectual Property

All content on our Site, including but not limited to text, graphics, logos, images, designs, software, and documentation, is the property of Box4Grow or Moduulize and is protected by U.S. and international copyright, trademark, and other intellectual property laws.

You may not:

• Copy, modify, or create derivative works of our content
• Reverse engineer or attempt to extract source code from our software
• Use our trademarks, logos, or branding without written permission
• Remove or alter any copyright, trademark, or proprietary notices

11.2 Facility Designs

Custom facility designs created for you remain the intellectual property of Box4Grow. You receive a non-exclusive license to use the design for your facility only. You may not:

• Share designs with competitors or third-party manufacturers
• Replicate the design for additional facilities without a new purchase agreement
• Claim ownership of Box4Grow proprietary designs or innovations

11.3 Feedback

If you provide suggestions, ideas, or feedback about our products or services, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use such feedback for any purpose without compensation or attribution.

12. Compliance with Cannabis Laws

12.1 State and Local Compliance

You are solely responsible for ensuring compliance with all applicable state and local cannabis laws and regulations, including but not limited to:

• Obtaining and maintaining valid cultivation licenses
• Meeting security and surveillance requirements
• Complying with canopy limits and production caps
• Maintaining required records and reporting
• Meeting environmental and zoning requirements

12.2 Federal Law Disclaimer

Cannabis cultivation remains illegal under federal law (Controlled Substances Act, 21 U.S.C. § 801 et seq.). While many states have legalized cannabis, federal law still classifies it as a Schedule I controlled substance.

By purchasing our Services, you acknowledge that:

• You understand the conflict between state and federal cannabis laws
• You assume all legal risks associated with cannabis cultivation
• Box4Grow makes no representations regarding federal enforcement priorities
• We are not responsible for any federal or state law enforcement actions

12.3 Prohibited Uses

You may NOT use our facilities for:

• Unlicensed or illegal cannabis cultivation
• Cultivation in jurisdictions where cannabis is not legal
• Any illegal activity or purpose
• Cultivation of Schedule I substances other than cannabis (where licensed)

13. Privacy and Data Protection

Our collection and use of your personal information is governed by our Privacy Policy, available at https://box4grow.com/privacy-policy/. By using our Services, you consent to our data practices as described in the Privacy Policy.

We may collect and use the following information in connection with your purchase:

• Business and personal contact information
• License information and business documentation
• Financial information for payment processing
• Site location and facility specifications
• System performance data from remote monitoring (if enabled)

14. Third-Party Services and Links

Our Site may contain links to third-party websites, services, or resources, including:

• Equipment manufacturers and suppliers
• Financing providers
• Licensing consultants
• Industry associations

We do not endorse, control, or assume responsibility for third-party websites, products, or services. Your use of third-party services is governed by their respective terms and privacy policies.

15. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

15.1 Informal Dispute Resolution

Before filing any formal claim, you agree to contact us at info@box4grow.com to attempt to resolve the dispute informally. We will attempt to resolve disputes through good-faith negotiation for at least 60 days.

15.2 Binding Arbitration

If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or our Services shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

Arbitration Terms:

• One arbitrator selected in accordance with AAA rules
• Arbitration held in New York, NY (or another mutually agreed location)
• Arbitrator’s decision is final and binding
• Each party bears its own costs and attorneys’ fees (unless otherwise awarded by arbitrator)
• Discovery is limited to what is necessary and proportional

15.3 Class Action Waiver

YOU AND BOX4GROW AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

Unless both you and Box4Grow agree otherwise, the arbitrator may not consolidate more than one person’s claims and may not otherwise preside over any form of representative or class proceeding.

15.4 Exceptions to Arbitration

Either party may seek injunctive or equitable relief in court to:

• Protect intellectual property rights
• Enforce confidentiality obligations
• Prevent irreparable harm

15.5 Opt-Out Right

You may opt out of this arbitration agreement by sending written notice to Box4Grow at 521 Fifth Avenue, New York, NY 10175 within 30 days of your first purchase. Your notice must include your name, address, and a clear statement that you wish to opt out of the arbitration agreement.

16. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of New York, without regard to its conflict of law principles.

Subject to Section 15 (Arbitration), any disputes not subject to arbitration shall be brought exclusively in the state or federal courts located in New York County, New York. You consent to personal jurisdiction and venue in these courts.

17. Force Majeure

Box4Grow shall not be liable for any delay or failure to perform due to circumstances beyond our reasonable control, including but not limited to:

• Acts of God (earthquakes, floods, fires, storms)
• War, terrorism, civil unrest
• Government actions or changes in law
• Labor disputes or strikes
• Supply chain disruptions
• Pandemics or public health emergencies
• Utility failures or telecommunications outages

If a force majeure event prevents performance for more than 90 days, either party may terminate the affected order with written notice. In such case, you will receive a refund of payments made minus costs incurred.

18. Severability and Waiver

18.1 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

18.2 Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Box4Grow.

19. Entire Agreement

These Terms, together with our Privacy Policy and any executed purchase agreement, constitute the entire agreement between you and Box4Grow regarding our Services and supersede all prior or contemporaneous understandings, agreements, representations, and warranties, whether written or oral.

In the event of any conflict between these Terms and a signed purchase agreement, the purchase agreement shall control with respect to the specific order.

20. Assignment

You may not assign, transfer, or delegate your rights or obligations under these Terms without our prior written consent. We may freely assign these Terms or our rights and obligations hereunder.

Any attempted assignment in violation of this section is void.

21. Notices

All notices under these Terms must be in writing and delivered by:

Notices are deemed received:

• Email: 24 hours after sending (if no delivery failure notification)
• Mail: 5 business days after mailing

The following sections shall survive termination or expiration of these Terms:

• Section 8 (Warranties) – for applicable warranty periods
• Section 9 (Limitation of Liability)
• Section 10 (Indemnification)
• Section 11 (Intellectual Property)
• Section 15 (Dispute Resolution)
